ive allocated about $300 dollars for the camera inclusive of other accessories.
i have 2 models in mind

1) Cyber-shot DSC-H10 (http://www.sonystyle.com/webapp/wcs/stores/servlet/ProductDisplay?catalogId=10551&storeId=10151&langId=-1&productId=8198552921665309447)

2) Cybershot W270 ( i couldnt find the sony link for it)

which is more superior? both are more or less same price...so im looking for the best between them

You can't say that one is superior to another without saying what you want to do with the camera. Please fill out the questionnaire at the top of this forum and we can help you out.

*Size between those 2 models is not a problem...

*Image Quality is a big thing for me... (a photographer i know said that the 12.1mpx vs the 8.1mpx is not a big thing...unless im gonna print them that big) - leaving that...i doubt id be printing pictures so big

*i am just trying to get into photography & willing to learn manual controls

*Usage for a cam to snap this & that in life...
hope to capture pics in all those kinda conditions
---may not be capturing sports so very often...

You're looking at an ultrazoom vs a compact. Do you want the ultrazoom? It'll be better getting you close the the action but worse in low light due to the slower lens. I think you'll get better image quality with the W270 but more functionality with the H10. Why are you restricting yourself to these two models from one manufacturer?

I say H10 is better for overall use.

The H10 does have manual controls, but I think you will find that the aperture is limited to 2 settings (camera lacks a lens iris). Which, in my view, is really a crippled form of manual control. One key advantage of the H10 is stronger flash, more range.

My preference would be the W270, mainly because it is a newer design by a year. Thus gets the benefit of any improvements Sony may have made in the image processing. Plus, you get Sony's latest thinking in camera automation.

If the 10X superzoom is important, I would say that Canon and Panasonic are better choices than the H10.
